Terms of Use
Last updated: 9 October 2026
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A RELEASE OF LIABILITY, AN ASSUMPTION OF RISK FOR IN-PERSON ACTIVITIES, LIMITS ON OUR LIABILITY AND, FOR USERS IN THE UNITED STATES, A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 37). LINKUP IS FOR ADULTS AGED 18 AND OVER ONLY.
1. Who we are
1.1 Linkup is a social app that helps adults discover, create and join linkups (real-life plans with other people) and meet new people nearby. It is operated by Linkup Social Ltd, a private limited company registered in England and Wales under company number 13498608, whose registered office is at International House, 61 Mosley Street, Manchester, M2 3HZ, United Kingdom (“Linkup”, “we”, “us” or “our”).
1.2 You can contact us at support@linkupapp.io. Contact details for safety reports, legal notices, copyright complaints and regulators are set out in Section 40.
2. Acceptance of these Terms
2.1 These Terms of Use (“Terms”) form a legally binding agreement between you and Linkup. They govern your access to and use of the Linkup mobile app (the “app”) and all related features, content, messaging, payments and services (together, the “Service”).
2.2 By creating an account, or by downloading, installing, accessing or using the Service, you agree to be bound by these Terms and confirm that you have read and understood them. You do not need to sign, tick or click anything separately to accept them. If you do not agree, you must not use the Service.
2.3 The following documents form part of these Terms and are incorporated by reference: our Privacy Policy, Cookie Policy, Community Guidelines, Safety Tips, Paid Linkup Terms (Section 13), and any additional terms shown to you when you use a particular feature, make a purchase or join a promotion (“Additional Terms”). If Additional Terms conflict with these Terms, the Additional Terms prevail for that feature only.
3. Definitions
In these Terms:
“Linkup” means a real-life plan that a Host creates as a linkup on the Service for other users to join, whether free or paid.
“Shout” means a post published in the Shouts feature of the Service, which other users can comment on, to suggest or arrange real-life plans. Any plan arranged through a Shout is made solely between the users involved.
“Creator” means the user who created a Shout.
“Host” means a user who creates a linkup. A “Co-host” is a user the Host adds to help run a linkup; a Co-host can do everything a Host can, except cancel a linkup before it takes place or remove it after it has happened, and references to a Host in these Terms include any Co-host. “Attendee” means a user who has joined a linkup, either directly or once the Host has accepted their request to join, including by paying to join.
“Paid Linkup” means a linkup that Attendees pay to join, and the “Joining Price” is the amount the Host sets for joining it.
“Platform Fee” means the fee Linkup charges on Paid Linkups, described in Section 20.
“Linkup Plus” or “Plus Subscription” means our paid subscription, which unlocks additional features of the Service.
“Your Content” means anything you post, upload, send or otherwise make available through the Service, including your profile, photos, linkups, Shouts and comments on Shouts, messages and reports. “User Content” means content made available by other users. “Our Content” means everything else on the Service.
“Messaging” means one-to-one chats, linkup group chats and any other communication feature on the Service.
“Linkup Parties” means Linkup and its affiliates, and each of their shareholders, directors, officers, employees, agents, contractors, licensors, service providers, partners and successors.
“including” means “including without limitation”.
4. Eligibility
4.1 To create an account or use the Service you must:
be at least 18 years old (or the age of majority where you live, if higher). The Service is strictly for adults and is not directed at anyone under 18;
not be a bot or automated account, and use the Service under your real identity;
have the legal capacity to enter into a binding contract and not be barred from using the Service under any applicable law;
not be located in, ordinarily resident in, or a national of a country or territory subject to comprehensive UN, UAE, UK, EU or US sanctions or embargoes, and not be named on (or owned or controlled by anyone named on) any government sanctions, export-control or restricted-party list;
never have been convicted of, or pleaded guilty or no contest to, a sexual offence, any offence involving a child, human trafficking, or a violent felony or equivalent serious violent crime, and not be required to register as a sex offender with any government authority in any jurisdiction;
not have previously had a Linkup account suspended or removed, unless we have given you written permission to return; and
have only one active account.
4.2 By using the Service you represent and warrant that you meet all of these requirements. If at any time you stop meeting them, you must stop using the Service and delete your account.
4.3 We may ask you to confirm your age or identity at any time, and we may use third-party age-assurance or verification tools to do so. If you do not provide the information we reasonably request, or we reasonably believe you are under 18 or have given us false information, we may suspend or remove your account immediately. If we learn that a user is under 18 we will remove the account. If you believe a minor is using the Service, please report it to us straight away.
4.4 The Service is operated from the United Kingdom. We make no representation that the Service, or any linkup, is appropriate, lawful or available in every location. If you access the Service from elsewhere, you are responsible for complying with local law.
5. Your account
5.1 You can sign up only with your mobile number, your Apple account or your Google account. You must give us accurate, current and complete information, including your real first name, real age and genuine photos of yourself, and keep it up to date.
5.2 You are responsible for everything that happens on your account. Keep your login details and devices secure, do not share your account or credentials with anyone, and tell us immediately at support@linkupapp.io if you suspect unauthorised access. We are not liable for loss caused by someone else using your account where you failed to keep it secure.
5.3 You must not sell, rent, transfer, lend or share your account, create an account for someone else, create an account under a false identity, or use another person’s account.
5.4 Your display name, username and profile photos must not impersonate anyone, infringe anyone’s rights, be offensive, sexual or misleading, or contain contact details, links, handles for payment apps, or promotional material.
5.5 Verification. You can get a verified badge by sending us a selfie, which we check against your profile photos. A verified badge only means that a user’s selfie matched their profile photos when we checked it. It is not a background check, not an endorsement, and not a guarantee of anyone’s identity, character, intentions or safety. Verification data is handled as described in our Privacy Policy and, where required, with your separate consent. We require identity verification (“know your customer” and, where relevant, “know your business” checks), carried out by our third-party verification provider, before you can create Paid Linkups and receive payouts.
5.6 No background checks. LINKUP DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR IDENTITY CHECKS ON ALL USERS, AND DOES NOT VERIFY STATEMENTS MADE BY USERS. However, to the extent permitted by law, we reserve the right (but have no obligation) to screen users at any time, including by searching publicly available records, sex-offender registries and sanctions lists, and by using third-party screening providers, and you authorise us to do so.
5.7 Deleting your account. You may delete your account at any time in the app under Settings, or by emailing support@linkupapp.io. Deleting the app does not delete your account, and deleting your account does not cancel a Plus Subscription purchased through the Apple App Store or Google Play; you must cancel that through the store (Section 22). Some information may be kept after deletion, as described in Section 31 and our Privacy Policy.
5.8 Inactive accounts. We may deactivate or delete accounts that have been inactive for 24 months or more, after giving notice where practicable.
5.9 Death of a user. Accounts are personal and non-transferable. On receiving reasonable evidence of a user’s death, we may close the account. Rights under these Terms end on death except where the law provides otherwise.
6. The Service
6.1 The Service lets adults: create a profile; discover people and linkups nearby; create, host and join free and paid linkups across categories such as food and drink, sport and fitness, wellness, music, art and culture, travel and networking; post and comment on Shouts; chat one-to-one and in linkup group chats; pay to join Paid Linkups; receive AI-powered linkup suggestions based on what’s happening in an area; and use the map to see linkups and people nearby, or change location to see linkups and people in other places.
6.2 Purpose of the Service. Linkup exists to help people make friends and share platonic social experiences, in groups and in public. It must not be used to seek, arrange or offer sexual encounters, sexual services, or any form of paid companionship or intimacy (see Section 15).
6.3 We may add, change, suspend or remove any feature, set limits on use, or discontinue the Service, at any time. Where a change materially and adversely affects a Plus Subscription you have paid for, we will give reasonable notice and, where required by law, a pro-rata refund.
6.4 Beta features. Features we label as beta, preview, early access or experimental are provided “as is”, may be changed or withdrawn at any time, and may not work as expected. You use them at your own risk.
6.5 Availability. We do not guarantee that the Service, any feature, or any content will always be available, uninterrupted or error-free. The Service may be unavailable because of maintenance, updates, or failures of hardware, software, networks or third parties. You need a compatible device, operating system and internet connection, and you are responsible for any carrier data or messaging charges. You may need to install updates to keep using the Service.
7. Our role: Linkup is a platform, not an organiser
7.1 Linkup is a technology platform only. Unless we clearly state in a linkup that it is organised by Linkup itself, every linkup is created, organised and run by its Host, not by Linkup. Linkup does not organise, host, supervise, control, inspect, vet, endorse or attend linkups, and is not a party to any arrangement between Hosts and Attendees or between users.
7.2 We do not verify, and make no representation about: whether a linkup will take place; the accuracy of any linkup, description, price, photo or review; the identity, qualifications, licences, insurance, conduct or intentions of any Host or Attendee; or the safety, legality, accessibility or suitability of any venue, activity, food, drink or transport.
7.3 Linkup is not an employer, agent, travel agent, tour operator, promoter, venue operator, instructor, guide, insurer or sales agent of any Host, and no Host is our employee, agent, partner or joint venturer. Hosts have no authority to bind Linkup. Where Linkup collects payment for a Paid Linkup, it does so only as the Host’s limited payment collection agent (Section 20).
7.4 Shouts. Shouts and their comments are User Content. The Creator is responsible for their Shout and for any plan they suggest in it, and where a Creator organises a plan with other users, Sections 13.2 (public venues), 13.4 (alcohol and restricted items) and 13.5 (safety) apply to them as if they were a Host. Linkup does not organise, supervise, verify or take part in any plan suggested or arranged through a Shout, and is not a party to it. Sections 11 (Your safety), 12 (Assumption of risk and release), 14 (Community Standards) and 15 (Zero tolerance) apply in full to any plan or meeting arranged through a Shout, just as they do to linkups. You must not use Shouts to charge for, sell or collect payment for any plan, or to direct people to pay off the Service; if you want to charge people to join, you must create a Paid Linkup.
8. Joining and attending linkups
8.1 When you request to join or join a linkup (including by paying to join a Paid Linkup), you enter into an arrangement directly with the Host. The Host may approve or decline requests, make it private or men-only or women-only (Section 9), limit capacity, change details, or remove Attendees, subject to these Terms and applicable law.
8.2 As an Attendee you agree to: read the linkup details and any Host rules before joining; turn up on time or leave the linkup in the app promptly if you can no longer attend; follow the Host’s reasonable instructions and the rules of the venue; behave safely, lawfully and respectfully; and bring any required equipment, ID or proof of age.
8.3 Repeatedly failing to attend linkups you have joined (“no-shows”), leaving linkups at the last minute, or abuse of free places may lead to restrictions on your account.
8.4 A linkup’s date, time, venue or content may change, but the Joining Price of a Paid Linkup cannot be changed once it has been set. The Host or a Co-host can update a linkup, and Attendees are sent a push notification when they do (if notifications are turned on). What happens to your payment if a Paid Linkup is changed or cancelled is set out in Section 21.
8.5 Travel and local law. Many users are travellers. You are solely responsible for your own passports, visas, permits, travel and health insurance, vaccinations, currency, and for understanding and obeying the laws, customs and religious and cultural norms of the place where a linkup takes place (including laws on alcohol, public behaviour, dress, photography and gatherings). Linkup does not give travel, immigration, legal, medical or safety advice.
9. Public, private and gender-restricted linkups
9.1 Public and private linkups. A Host can make a linkup public, so that anyone on the Service can discover and view it, or private, so that it does not appear in discovery and can only be viewed by people who have its link. Anyone who has the link to a private linkup can view it and share it, so Hosts should share links with care.
9.2 Men-only and women-only linkups. A Host can set a linkup to be for men only or women only. Other users can still discover and view the linkup, but cannot request to join or join it. This relies on the gender users give in their profiles, which we do not verify, and we do not guarantee that every Attendee meets the restriction. You must not misrepresent your gender in order to join a restricted linkup.
9.3 Hosts must not use join approvals to exclude people unlawfully on the basis of race, ethnicity, national origin, religion, disability, sexual orientation or any other characteristic protected by applicable law. Hosts are responsible for making sure that a men-only or women-only restriction is lawful where the linkup takes place.
10. AI features, recommendations and translations
10.1 The Service uses automated systems and artificial intelligence, including third-party AI models, to suggest linkups, personalise what you see, generate or improve text (such as linkup descriptions), translate content, and help keep the Service safe.
10.2 AI output is generated automatically and may be inaccurate, incomplete, out of date, biased or inappropriate. It is not advice and is not reviewed by a person before you see it. You are responsible for checking anything you rely on, and for any AI-assisted content you choose to publish, which counts as Your Content.
10.3 Recommendations are based on factors such as your stated interests, location, activity on the Service and the activity of similar users. More detail, and any options to use a non-personalised feed where the law requires, are in our Privacy Policy.
10.4 You must not use AI features to create content that breaks these Terms, to impersonate anyone, or to attempt to extract the underlying models, prompts or data.
11. Your safety
11.1 Meeting new people in real life carries risk. You are solely responsible for your interactions with other users, online and offline, and for taking appropriate precautions. Please read our Safety Tips before attending or hosting. As a minimum, we strongly recommend that you:
meet in public, well-lit places with other people around, and do not go to a private residence or isolated location with someone you have just met;
tell a friend or family member where you are going, who you are meeting and when you expect to be back;
arrange your own transport to and from the linkup;
keep conversations on the Service until you feel comfortable, and never share financial information, passwords, your home address or identity documents;
never send money, gift cards, cryptocurrency or anything of value to another user, however convincing the request;
stay in control of your food, drink and belongings, and know your limits with alcohol;
leave any situation that makes you uncomfortable, and report the user to us.
11.2 Emergencies. Linkup is not an emergency service and cannot monitor linkups in real time. If you are in danger or witness a crime, contact local emergency services immediately (for example 999 in the UK and UAE, 112 in the EU, 911 in the US) before contacting us.
11.3 Any safety tools we provide (such as reporting, blocking or verification) are aids only. They do not guarantee your safety and are not a substitute for your own judgement.
12. Assumption of risk and release
12.1 ASSUMPTION OF RISK. YOU UNDERSTAND THAT LINKUPS, AND ANY OTHER REAL-LIFE PLANS ARRANGED THROUGH THE SERVICE (INCLUDING THROUGH SHOUTS OR MESSAGING), CAN INVOLVE INHERENT AND UNFORESEEABLE RISKS, INCLUDING RISKS FROM: OTHER PEOPLE’S CONDUCT; TRAVEL AND TRANSPORT; VENUES AND THEIR CONDITION; FOOD, ALCOHOL AND OTHER SUBSTANCES; PHYSICAL, SPORTING, FITNESS, WELLNESS, WATER, OUTDOOR AND ADVENTURE ACTIVITIES; WEATHER AND ENVIRONMENTAL CONDITIONS; AND THE ACTS OR OMISSIONS OF THIRD PARTIES. THESE RISKS MAY RESULT IN ILLNESS, INJURY, DISABILITY, DEATH, EMOTIONAL DISTRESS, OR LOSS OF OR DAMAGE TO PROPERTY. YOU ATTEND, HOST AND PARTICIPATE IN LINKUPS AND SUCH PLANS VOLUNTARILY AND, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ASSUME ALL OF THESE RISKS.
12.2 You are responsible for deciding whether an activity is suitable for your fitness, health, ability and experience, and for consulting a doctor where appropriate. Hosts’ descriptions of difficulty or suitability are not verified by us.
12.3 RELEASE. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE THE LINKUP PARTIES FROM ALL CLAIMS, DEMANDS, LOSSES AND DAMAGES OF EVERY KIND, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH: (A) ANY LINKUP, OR ANY PLAN OR MEETING ARRANGED THROUGH A SHOUT, MESSAGING OR OTHERWISE THROUGH THE SERVICE; (B) YOUR INTERACTIONS WITH, OR THE CONDUCT OF, ANY HOST, ATTENDEE, USER OR THIRD PARTY; OR (C) ANY TRANSACTION BETWEEN YOU AND ANOTHER USER OR THIRD PARTY, INCLUDING ANY HOST’S NEGLIGENCE.
12.4 California residents: you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favour at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar law in any other jurisdiction.
12.5 Nothing in this Section 12 limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by our own negligence, or for our fraud, gross negligence or wilful misconduct (Section 33.4).
12.6 User disputes. You are solely responsible for resolving any dispute with another user. We may, but are not obliged to, help resolve disputes, and any decision we make on refunds or account action does not create any liability for us.
13. Paid Linkup Terms
If you create or host a linkup, these Paid Linkup Terms apply to you in addition to the rest of these Terms. They also apply to any Co-host, and a Host is responsible for the conduct of the Co-hosts they add.
13.1 Accurate linkups. Each linkup you create must be accurate and complete, including what it involves, the date, time and meeting point, price and what it includes, any extra costs, physical or skill requirements, age or eligibility limits, accessibility, risks, and your rules for the linkup. You must not use bait-and-switch tactics, fake scarcity, hidden fees or misleading photos.
13.2 Public and appropriate venues. Linkups must take place in venues that are appropriate for the activity. For linkups open to people you have not met, we strongly encourage public venues. You must not use a linkup as a pretext to lure anyone to a private or isolated location.
13.3 Legal compliance, licences and insurance. You are solely responsible for ensuring your linkup and everything you do in connection with it complies with all applicable laws, and for obtaining and maintaining at your own cost any licences, permits, permissions, qualifications, registrations and insurance required, including: venue and landowner permission; entertainment, music, alcohol or food licences; health and safety and fire regulations and capacity limits; tour guide, instructor, coaching, fitness, wellness or professional qualifications; public liability insurance; consumer protection and pricing rules; data protection; and immigration or work-permit rules applying to you as a Host where you are hosting for payment. Linkup does not check any of these.
13.4 Alcohol and restricted items. You must not provide or permit alcohol to anyone under the legal drinking age, must comply with local alcohol laws, and must not supply or permit illegal drugs, weapons or other illegal items at any linkup.
13.5 Attendee safety. You must take reasonable care for the safety of Attendees, carry out any risk assessments the activity reasonably requires, give appropriate safety briefings, stop or cancel a linkup where it becomes unsafe, and report to us (and, where appropriate, the emergency services) any incident involving injury, harassment, assault or other serious misconduct.
13.6 Hosting for payment. If you host Paid Linkups you are acting as a seller, and possibly as a business. You are responsible for honouring the place of every Attendee who has paid to join, delivering the linkup as described, the payment rules in Sections 20 and 21, all taxes and invoicing (Section 20.9), and complying with consumer law as it applies to you. You must complete any identity, business and bank verification required by us or our payment processor (“know your customer” checks) before receiving payouts.
13.7 Attendee data. You may use Attendees’ information only to organise and run the linkup. You must not export, sell or use it for marketing, add Attendees to external lists or groups without their consent, or keep it longer than necessary. Where you process Attendees’ personal data you do so as an independent controller and must comply with data protection law.
13.8 Photos and recording. If you intend to photograph or record a linkup, you must say so clearly in the linkup and respect anyone who does not wish to be photographed or recorded.
13.9 Host standards. We may set and enforce Host standards (for example on ratings, cancellations and no-shows), edit or remove linkups, limit hosting privileges, hold payouts or require additional verification, at our discretion.
14. Community Standards and prohibited conduct
14.1 You must treat everyone on Linkup, and everyone you meet through it, with respect, and comply with our Community Guidelines and all applicable laws. These rules apply on the Service, in Messaging, and offline at linkups and at any meeting arranged through the Service.
14.2 Harmful conduct towards people. You must not:
harass, bully, intimidate, threaten, stalk, dox, blackmail, extort, defame or abuse anyone;
engage in any form of physical, sexual, emotional, verbal or financial abuse, or any violent, coercive or controlling behaviour;
touch anyone without their consent, make unwanted sexual advances, send unsolicited sexual messages or images, or pressure anyone into any activity;
spike or tamper with anyone’s food or drink, or supply anyone with drugs;
discriminate against, or promote hatred or violence towards, any person or group because of race, ethnicity, national origin, caste, religion, disability, disease, age, sex, gender identity, sexual orientation, or any other protected characteristic;
promote, glorify or threaten terrorism, violent extremism, mass violence or organised crime, or be a member of or represent any organisation that does;
promote or encourage suicide, self-harm, eating disorders or dangerous challenges;
share anyone’s private information (including addresses, phone numbers, location, identity documents or financial details) without their consent;
record, photograph or live-stream anyone at a linkup without their knowledge and consent, or in any private or intimate setting;
attend a linkup while carrying a weapon, or under the influence of illegal drugs.
14.3 Fraud, scams and money. You must not:
request, solicit or accept money, gifts, gift cards, cryptocurrency, loans or financial help from other users, or pressure anyone into financial transactions;
run or promote scams of any kind, including romance or relationship scams, investment, crypto, trading or “get rich quick” schemes, pyramid, Ponzi or multi-level-marketing schemes, advance-fee fraud, phishing or fake giveaways;
use stolen, unauthorised or fraudulent payment methods, carry out money laundering, terrorist financing or sanctions evasion, or use the Service to move funds for any purpose other than paying to join Paid Linkups or buying Linkup Plus;
take payments for linkups outside the Service in order to avoid our fees or protections, or direct users to off-platform payment methods (unless we have expressly permitted it);
create fake or non-existent Paid Linkups, charge people to join a linkup you are not hosting, or resell or transfer your place in a Paid Linkup for a profit;
create fake reviews or ratings, or manipulate attendance, rankings or reputation;
solicit passwords, verification codes or personal information from users for commercial, fraudulent or unlawful purposes.
14.4 Honesty and identity. You must not impersonate any person, brand or organisation (including Linkup or its staff), misrepresent your identity, age, gender, affiliations or qualifications, use someone else’s photos, create fake or multiple accounts, return after being removed, or file false or malicious reports or appeals.
14.5 Illegal and restricted goods and activities. You must not use the Service to buy, sell, promote, arrange or facilitate: illegal drugs or controlled substances; prescription medicines; weapons, firearms, ammunition, explosives or their parts; unlicensed gambling; counterfeit or stolen goods; tobacco, vaping, cannabis or alcohol to anyone under the legal age or contrary to local law; or any other activity that is illegal where it takes place.
14.6 Commercial misuse. Except for Paid Linkups offered in line with these Terms, you must not use the Service for commercial purposes, including advertising, spam, chain messages, unsolicited promotions, recruiting, lead generation, affiliate marketing, political campaigning or fundraising, without our prior written consent. You must not use other users’ information to contact them off the Service for commercial purposes.
14.7 Technical misuse. You must not, and must not help anyone else to:
copy, scrape, crawl, harvest, index, mine or systematically extract data or content from the Service by any automated means, or use bots, scripts or automated accounts;
use the Service or its data or content to train, test, fine-tune or benchmark any AI or machine-learning model, or to build a competing product;
reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service, except where law expressly allows;
access the Service other than through our official app, or use our APIs without written permission;
probe, scan or test the vulnerability of the Service, or breach or circumvent any security, authentication, usage limit, paywall, geographic restriction, block (including IP blocks) or content filter, including by using VPNs or proxies to evade enforcement;
upload viruses, malware, spyware or other harmful code, or interfere with, disrupt or overload the Service or its infrastructure;
frame, mirror or deep-link to the Service, forge headers, or manipulate identifiers to disguise the origin of any content;
modify, adapt, translate, sell, rent, lease, sublicense or create derivative works of the Service;
deliberately evade our moderation, for example by misspelling prohibited terms, splitting messages or using coded language or images; or
use the Service if you work for a competing platform, for the purpose of gathering competitive intelligence, without our written consent.
14.8 Encouraging breaches. You must not encourage, assist, promote or enable anyone else to do anything prohibited by these Terms.
15. Zero tolerance: human trafficking, sexual exploitation, abuse and child safety
Linkup has zero tolerance for the conduct in this Section. Any breach will result in immediate and permanent removal from the Service without warning, forfeiture of any balance, payout, subscription or benefit to the extent permitted by law, and, where appropriate or required by law, referral to law enforcement and relevant authorities.
15.1 Human trafficking and exploitation. You must not use the Service to engage in, promote, facilitate, recruit for, advertise, or profit from human trafficking (including sex trafficking and sexual exploitation), forced labour, servitude, slavery, debt bondage, forced marriage, organ trafficking, or the exploitation of any person, whether an adult or a child.
15.2 Sexual services and commercial sexual activity. You must not use the Service to offer, request, advertise, arrange or facilitate: prostitution or any sexual service; escort services; paid or transactional companionship; arrangements in which companionship, intimacy, attention, time or sexual activity is exchanged for money, gifts, travel, accommodation or other benefits; sexual massage; webcam or live sexual performances; or any other commercial sexual activity. Paid Linkups must not be used to charge for access to a person or their company.
15.3 Sexual content. You must not post, send or share pornography, nudity, sexually explicit or sexually suggestive content, sexual fetish content, or links to any such content or to adult services or websites.
15.4 Abuse. You must not engage in, or aid, abet, encourage, incite, promote, facilitate or glorify abuse of any kind, including physical, sexual, emotional, psychological, domestic or financial abuse, sexual assault, rape, grooming, coercive control, stalking, image-based abuse, or violence against any person or animal.
15.5 Non-consensual intimate imagery and sextortion. You must not create, share, threaten to share, or request intimate or sexual images or videos of anyone without their consent (including deepfakes and AI-generated or altered imagery), or use intimate images, personal information or secrets to threaten, coerce or extort anyone.
15.6 Child safety. The Service is for adults only. You must not: bring, invite or admit anyone under 18 to a linkup unless the linkup is clearly described as family-friendly, the Host permits it, and the child is accompanied and supervised at all times by their own parent or legal guardian; contact, befriend or attempt to meet any person you know or suspect is under 18 through the Service; post any image of a child without their parent or guardian’s consent; or create, share, request or possess any child sexual abuse or exploitation material (CSAM), sexualise minors in any way, or engage in grooming, sextortion or any conduct that endangers children. We report apparent CSAM and child exploitation to the US National Center for Missing & Exploited Children (NCMEC), the Internet Watch Foundation, national law enforcement and other authorities as required or permitted by law, and we preserve related data for them.
15.7 Reporting. If you believe anyone is at risk of trafficking, exploitation or abuse, contact local emergency services immediately and then report it to us through the in-app report feature or at support@linkupapp.io. In the UK you can also contact the Modern Slavery & Exploitation Helpline on 08000 121 700, and in the US the National Human Trafficking Hotline on 1-888-373-7888.
16. Your Content
16.1 You own Your Content. You keep ownership of Your Content. You are solely responsible for it, including its accuracy and legality, and for the consequences of sharing it.
16.2 Licence to Linkup. You grant Linkup a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sub-licensable (through multiple tiers) licence to host, store, use, reproduce, modify, adapt, reformat, translate, publish, display, perform, distribute, and create derivative works of Your Content, in any media now known or later developed, for the purposes of operating, providing, improving, securing, moderating, promoting and marketing the Service. This licence continues after you delete Your Content or your account for content that has already been shared with others, is retained under Section 31, or has been used in marketing materials created before deletion. To the extent permitted by law, you waive (or agree not to assert) any moral rights in Your Content against Linkup and its licensees.
16.3 Licence to other users. You grant other users a licence to view and interact with Your Content through the Service as the Service allows. Content you post in a linkup, group chat or public area may be visible to other Attendees and users, may be seen by people worldwide, and may be kept by them.
16.4 Your promises. You represent and warrant that: you own or have all rights, licences and consents needed to post Your Content and grant these licences; Your Content does not infringe any copyright, trademark, privacy, publicity or other rights; you have the written consent of every identifiable person shown in it (including, for any child, their parent or guardian); and Your Content complies with these Terms and applicable law.
16.5 Personal information. Do not include in public content your phone number, email, home address, financial or payment details, identity documents or other sensitive information. If you choose to share personal information with other users, you do so at your own risk.
16.6 Other users’ content. User Content is the responsibility of the user who posted it. We do not endorse it and do not guarantee its accuracy. You may use User Content only as permitted by the Service for its intended social purpose, and not for commercial purposes, harassment, spam or any unlawful purpose.
16.7 Storage. Linkup is not a backup or storage service. We may set limits on storage and may delete content, including messages and photos, after a period of time or when a linkup ends, as described in our Privacy Policy. Keep your own copies of anything important.
17. Moderation and enforcement
17.1 How we moderate. We use a combination of automated systems (including third-party moderation and AI classification tools), user reports and human review to detect and act on content and conduct that breaches these Terms or the law. Automated tools may scan profiles, photos, linkups, Shouts and their comments, messages (including private and group Messaging), reviews and reports for prohibited content such as nudity, sexual content, exploitation, violence, hate, scams, spam and off-platform payment requests. We do not use these tools to identify you by facial recognition or to create biometric templates, except for any verification feature you separately consent to.
17.2 No obligation to pre-screen. We may, but are not obliged to, review, screen, monitor, edit, refuse or remove any content, and we are not responsible for content we have not removed.
17.3 Actions we can take. If we reasonably believe you have breached these Terms or the law, pose a risk to anyone’s safety, or expose us or others to legal, financial or reputational harm, we may, at our discretion and with or without prior notice (subject to Section 17.5): issue a warning; remove, hide, or limit the visibility or reach of content; restrict features such as messaging, hosting, joining or payments; apply strikes under our strike system; cancel linkups or remove Attendees from them; freeze Wallets or hold, reverse or withhold earnings and payouts (Section 20); require verification; suspend or permanently ban your account and any related accounts; block your device, phone number or IP address; and refer the matter to law enforcement. We may act on conduct that happens offline, including at linkups or between users who met through the Service, and on credible information from outside the Service.
17.4 Strikes. We may operate a strike system in which repeated or escalating breaches lead to increasingly serious restrictions, up to permanent removal. Severe breaches, including any breach of Section 15, may lead to immediate permanent removal without any prior warning or strike.
17.5 Statement of reasons. Where required by law, we will tell you about a restriction we apply and why, including whether it was made by automated means, unless doing so would be unlawful, would compromise an investigation, or would put someone’s safety at risk.
17.6 Appeals. If you believe we made a mistake, you can appeal within 30 days of our decision by using the link in our notice or emailing support@linkupapp.io with “Appeal” in the subject, your account details and why you think the decision was wrong. Appeals are reviewed by a person. Abusive or repeated manifestly unfounded appeals or reports may result in us suspending the processing of your reports or appeals.
18. Reporting, blocking and cooperation with authorities
18.1 Reporting. You can report a profile, linkup or Shout in the app (tap the three dots and select Report). To report anything else, such as a comment, message or other content, email support@linkupapp.io. Tell us what happened and where, and include screenshots if you can. You can also report illegal content even if you do not have an account. We review reports as quickly as we reasonably can and prioritise those involving risk to safety.
18.2 Blocking. You can block any user at any time. A blocked user will not be able to message you or view your profile, although they may still see you at a public linkup.
18.3 Disclosure and preservation. You agree that we may access, preserve and disclose your account information, Your Content, Messaging and transaction records if we believe in good faith that it is reasonably necessary to: comply with law, regulation, legal process or a lawful government, regulatory or law-enforcement request; enforce these Terms or investigate potential breaches; detect, prevent or address fraud, security or technical issues; respond to claims that content infringes someone’s rights; respond to your requests for support; or protect the rights, property or safety of Linkup, our users or the public. Where we become aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of a person has occurred, is occurring or is likely to occur, we will inform the relevant law-enforcement or judicial authorities.
18.4 UK Online Safety Act. UK users can complain to us about illegal content, content harmful to children, our compliance with our online safety duties, or action we have taken against their content or account, by emailing support@linkupapp.io with “Online Safety Complaint” in the subject. We will acknowledge and handle complaints in accordance with our complaints procedure.
19. Copyright and intellectual property complaints
19.1 We respect intellectual property rights and expect users to do the same. If you believe content on the Service infringes your copyright or other rights, send a notice to us at support@linkupapp.io (subject “Copyright Notice”) or by post to our registered address in Section 1.1, including:
your physical or electronic signature;
identification of the work or rights you claim are infringed;
identification of the infringing material and enough information for us to locate it (such as a link or screenshot);
your name, address, telephone number and email address;
a statement that you have a good-faith belief that the use is not authorised by the rights owner, its agent or the law; and
a statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights owner or authorised to act on their behalf.
19.2 Counter-notice. If your content was removed and you believe this was a mistake or misidentification, you may send a counter-notice to the same address containing: your signature; identification of the removed content and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your name, address, phone number and email; and your consent to the jurisdiction of the courts of your district (or, if outside the US, any judicial district in which Linkup may be found) and to accept service from the complainant. We may restore the content 10 to 14 business days after we forward the counter-notice, unless the complainant tells us it has started court proceedings.
19.3 Repeat infringers. We will, in appropriate circumstances, disable or terminate the accounts of users who repeatedly infringe others’ rights.
19.4 Knowingly making a false or misleading notice or counter-notice may make you liable for damages, including costs and legal fees.
20. Paid Linkups, fees and payouts
20.1 Who you are paying. When you pay to join a Paid Linkup, you are paying the Host, who is the seller and is responsible for delivering the linkup. Linkup acts as the Host’s limited payment collection agent: when you pay Linkup (or our payment processor) to join, your payment obligation to the Host is satisfied, and the Host must honour your place. The Host appoints Linkup for this purpose by creating a Paid Linkup.
20.2 Prices and fees. The Joining Price (including any taxes) is shown in the linkup’s currency before you confirm payment. Prices are set by Hosts. You may be charged in the currency shown, and your bank or card issuer may apply its own exchange rates and fees. Linkup charges Hosts a Platform Fee on each Paid Linkup (currently 10% of the Joining Price), which is deducted from each payout of the Host’s Wallet balance (Section 20.5). Hosts also pay Ryft’s payment processing fees on their Paid Linkups, which are deducted from their earnings or payouts. Attendees pay only the Joining Price and are not charged any fee by Linkup. We may change our fees on notice; changes do not affect payments already made.
20.3 How payment works. When you join a Paid Linkup, you authorise us and Ryft to place a temporary hold (an “authorisation”) on your payment card for the total price. You are not charged when you join: the held amount is charged after the linkup has ended. Your place is confirmed in the app once the authorisation succeeds. Card authorisations expire after a limited time, so for linkups further in the future we may save your card securely when you join and place the authorisation closer to the linkup date, or renew an authorisation before it expires; you authorise us to do so. If an authorisation or renewal fails, we may remove you from the linkup. Released holds are removed by your card issuer, which may take several business days. No physical goods are shipped; the linkup is delivered by the Host at the date, time and place shown in the linkup.
20.4 Payment processing. Payments for Paid Linkups, and Host payouts, are processed by Ryft Pay Ltd (“Ryft”), which is authorised and regulated by the UK Financial Conduct Authority as an Authorised Payment Institution (firm reference number 972895). Linkup Plus subscriptions are processed by Apple or Google (Section 22). We may add or change payment providers (together with Ryft, “Payment Processors”). By making or receiving payments you agree to Ryft’s Terms & Conditions and Privacy Policy, and Hosts agree to any seller or sub-merchant terms Ryft requires during onboarding. Linkup does not store full card numbers: card data is handled by Ryft, which is certified to PCI DSS Level 1 and transmits data using encryption. You authorise us and our Payment Processors to charge your chosen payment method for all amounts you agree to pay, and to verify it (including by a temporary authorisation). Payments may be subject to strong customer authentication (such as 3D Secure) by your card issuer.
20.5 Host Wallet and payouts.
Verification. Before receiving any funds, Hosts must provide accurate identity, business, tax and bank details and pass the verification (“know your customer” and anti-money-laundering checks) required by us and Ryft.
Earnings. A Host’s earnings from a Paid Linkup (the Joining Prices paid by Attendees, less refunds, chargebacks, reversals, any tax we are required to withhold and any other amounts owed to us) are credited to the Host’s in-app earnings wallet (the “Wallet”). Your Wallet shows the full amount earned; the Platform Fee is deducted when a payout is made, whether automatic or manual. Earnings become available for withdrawal once the linkup has ended and any holding period shown in the app has passed.
Automatic payouts. The available Wallet balance is paid out automatically to the Host’s verified bank account every 30 days.
Manual withdrawals. Hosts may also withdraw their available balance manually, no more than once every 24 hours. Withdrawals may be subject to minimum amounts, limits and any fees shown in the app before you confirm.
Timing. Once a payout is sent, the time it takes to reach your account depends on Ryft and your bank. We are not responsible for delays caused by incorrect bank details you provide or by your bank.
What the Wallet is. The Wallet is a record of amounts due to you for Paid Linkups that you have hosted. It is not a bank account, deposit, savings or e-money account, balances do not earn interest, and funds are held and settled by Ryft in line with its regulatory obligations. You cannot add your own money to the Wallet, transfer balances to other users, or use them to buy anything on the Service. Balances are shown in the currency of the relevant linkup.
Unclaimed balances. If we cannot pay out a balance (for example, because your bank details are invalid or your bank account has been closed), we will try to contact you. Balances that remain unclaimed will be dealt with as required by applicable law.
20.6 Holds, reserves and set-off. We and Ryft may freeze a Wallet, delay, hold or cancel scheduled or manual withdrawals, withhold or reverse earnings, or require a reserve, where we reasonably suspect fraud, money laundering, a breach of these Terms, or a high risk of refunds or chargebacks, where there is a pending investigation or dispute, or where required by law, a regulator or a Payment Processor. You authorise us to set off any amount you owe us (including refunds we have paid to Attendees for your linkup, chargebacks, fees and penalties) against your Wallet balance or any payout, and to charge your payment method on file for any shortfall. If your Wallet balance becomes negative, you must repay the amount on request.
20.7 Off-platform payments. All payments for Paid Linkups must be made through the Service. Payments made outside the Service are not protected by these Terms and we have no responsibility for them.
20.8 Restricted Paid Linkups. A Paid Linkup must not involve any product, service or activity prohibited by these Terms or by our Payment Processors’ restricted-business lists, including anything in Section 15, gambling, weapons, adult content, financial or investment services, multi-level marketing, crowdfunding, or charitable fundraising (unless we have agreed in writing).
20.9 Taxes. Hosts are solely responsible for determining, collecting, reporting and paying all taxes (including VAT, GST, sales and income taxes) on their Paid Linkups, and for issuing any invoices required by law, except where the law requires Linkup to collect or withhold tax, in which case we will do so and may deduct it from payouts. We may request tax information from you and may report payment information to tax authorities where required (for example under the UK Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023, the EU DAC7 rules or US Form 1099-K requirements).
20.10 Pricing errors. If a price is clearly wrong because of an error, we may remove you from the linkup and release the hold or, if you have already been charged, refund you in full.
21. Leaving, removals, cancellations, refunds and chargebacks
21.1 Leaving a Paid Linkup. You can leave a Paid Linkup in the app at any time. If you leave a Paid Linkup after joining, or do not turn up, you will still be charged the full Joining Price, which is taken after the linkup has ended. By joining, you agree that your place is reserved for you and that the amount held is not refundable if you leave or do not turn up, except as set out in this Section 21 or where required by law.
21.2 Cancellation, removal or change. If the Host cancels a Paid Linkup, or the Host or a Co-host removes you from it before it ends, the hold on your card is released and you will not be charged. If the Host makes a material change to a Paid Linkup (such as to its date, time or location) that you do not accept, contact us at support@linkupapp.io before the linkup starts and we will release the hold. Hosts must not cancel Paid Linkups except for genuine reasons, such as safety or circumstances outside their control.
21.3 Processing fees. Where an Attendee is refunded after a payment has been taken, the Host bears any Ryft payment processing fees on that payment that are not returned to us.
21.4 Refund method and timing. Where a payment has already been taken and a refund is due, refunds are made to the original payment method. We aim to start processing a refund within 5 business days of it becoming due; it may take a further 5 to 10 business days (or longer, depending on your bank) to reach your account.
21.5 Removal for breach. If you are removed from a linkup because you breached these Terms, the Host’s reasonable rules, the venue’s rules or the law, you will not be charged for that linkup, but we may still take action on your account under Section 17.
21.6 Linkup-issued refunds. We may, at our discretion, issue a refund or credit to an Attendee (for example if a linkup did not take place, was materially not as described, or where we suspect fraud or a safety issue), and recover that amount from the Host under Section 20.6. Our decision does not limit any other rights you have.
21.7 Problems with a linkup. If a Paid Linkup did not happen or was materially different from its description, contact the Host first, then us at support@linkupapp.io within 14 days of the linkup date, with details and any evidence.
21.8 Statutory cancellation rights. If you are a consumer in the UK or EU, you do not have a 14-day right to cancel payments to join leisure activities on a specific date or period, as these are exempt under consumer law (for example regulation 28(1)(g) of the UK Consumer Contracts Regulations 2013 and Article 16(l) of the EU Consumer Rights Directive). Your other statutory rights, including if a linkup is not provided as described, are not affected.
21.9 Chargebacks and disputes. If you have a problem with a charge, please contact us at support@linkupapp.io first so we can try to resolve it quickly. If you file a chargeback or payment dispute that we reasonably consider unjustified or fraudulent (for example, for a linkup you attended), we may suspend your account and recover the amount and any associated fees. Hosts are responsible for chargebacks, disputes, reversals and associated fees relating to their Paid Linkups, and must provide evidence we request within the time we specify. Excessive chargebacks may lead to account restrictions.
21.10 Customer service. For any questions about a payment, refund or Paid Linkup, contact support@linkupapp.io. We aim to respond within 2 business days.
22. Linkup Plus
22.1 Linkup Plus is our only paid subscription. Some features are available only with Linkup Plus. Linkup Plus is separate from Paid Linkups: it does not include entry to any Paid Linkup, and you pay separately to join Paid Linkups under Section 20. Details of features, prices and billing periods are shown before you buy.
22.2 Purchase. Linkup Plus is bought in the app through the Apple App Store or Google Play and are subject to their terms and payment and refund policies.
22.3 Automatic renewal. PLUS SUBSCRIPTIONS RENEW AUTOMATICALLY FOR THE SAME PERIOD AT THE THEN-CURRENT PRICE UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE THE END OF THE CURRENT PERIOD. You authorise the store or Payment Processor to charge you for each renewal. Where required by law, we will remind you before renewal.
22.4 How to cancel. Cancel through your Apple ID subscription settings or your Google Play subscriptions. We cannot cancel app store subscriptions for you. Deleting the app or your account does not cancel your subscription. Cancellation takes effect at the end of the current billing period, and you keep access until then.
22.5 Free trials and introductory offers. A free trial or introductory price converts automatically into a paid subscription at the standard price unless you cancel before it ends. Trials and offers are limited to one per person and may be changed or withdrawn at any time. Any unused part of a free trial is forfeited when you buy a subscription.
22.6 Refunds. Except as required by law or the store’s policies, payments are non-refundable and there are no refunds or credits for partial periods or unused features. Refund requests for app store purchases must be made to Apple or Google (for Apple, through reportaproblem.apple.com). We cannot process refunds for app store purchases.
22.7 EU and UK consumers. You have a legal right to withdraw from a digital subscription within 14 days of purchase. By asking us to give you immediate access to Linkup Plus features, you expressly consent to that and acknowledge that you lose your right of withdrawal once the digital content has been supplied, except where the law provides otherwise. Germany: after any minimum term, you may cancel a renewed subscription at any time with one month’s notice.
22.8 Price changes. We may change subscription prices. We will give you reasonable advance notice of any increase, which applies from your next renewal. If you do not agree, you may cancel before the new price takes effect.
23. Promotions, referrals and credits
23.1 From time to time we may offer promotions, discount codes, credits, competitions, referral rewards or free access (“Promotions”). Each Promotion is subject to these Terms and any specific rules we publish for it, which prevail for that Promotion.
23.2 Unless stated otherwise, Promotions: are limited to one per person, account, device and payment method; cannot be combined; have no cash value and cannot be exchanged for cash; are personal and non-transferable; may expire; and may be changed, suspended or withdrawn at any time.
23.3 Referrals. Referral rewards are given only for genuine new users who meet the qualifying conditions. We may withhold, reverse or cancel rewards and Promotions if we suspect abuse, including self-referral, duplicate or fake accounts, automated sign-ups, spam, paid advertising on our brand terms, misleading claims, or any breach of these Terms. You must comply with anti-spam laws when sharing referral links.
23.4 Credits. Any Linkup credits are a promotional entitlement, not money or stored value. They are separate from a Host’s Wallet, can only be used on the Service as we specify, expire as stated, and are forfeited on account closure, to the extent permitted by law.
23.5 Competitions and prize draws are void where prohibited and are subject to their own rules. Apple and Google are not sponsors of, or involved in, any Promotion.
24. Our intellectual property and your licence to use the Service
24.1 The Service and Our Content, including software, code, design, text, graphics, logos, interfaces, data compilations, and the names “Linkup” and “Linkup Social” and our registered and unregistered trademarks, are owned by or licensed to Linkup and protected by copyright, trademark, database, patent, trade secret and other laws. All rights not expressly granted to you are reserved.
24.2 Subject to these Terms, we grant you a limited, personal, worldwide, non-exclusive, non-transferable, non-sublicensable and revocable licence to download and install the app on devices you own or control and to use the Service for your own personal, non-commercial purposes (and, for Hosts, to create linkups in line with these Terms). This licence ends automatically if you breach these Terms.
24.3 You must not use our name, logos or trademarks, or any confusingly similar marks, in any way (including in domain names, social handles, metatags or advertising), or suggest that we endorse you, without our prior written permission. Any goodwill arising from use of our marks belongs to us.
24.4 Usage data. We may collect and use technical, usage and statistical data derived from your use of the Service, including in aggregated or de-identified form, for any lawful purpose, as described in our Privacy Policy.
25. Feedback
If you send us ideas, suggestions or feedback about the Service, you agree that they are not confidential and that we may use, disclose and exploit them for any purpose, without restriction, attribution or payment to you, and you assign to us (or, where assignment is not possible, grant us a perpetual, irrevocable, royalty-free, worldwide licence to) all rights in them.
26. Third-party services, content and links
26.1 The Service may include or link to third-party websites, apps, services, maps (such as Apple Maps, Google Maps or Mapbox), venues, sign-in providers, payment services, messaging infrastructure, AI providers and content (“Third-Party Services”). Your use of Third-Party Services is governed by their own terms and privacy policies, including, where applicable, the Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy.
26.2 We do not control and are not responsible for Third-Party Services, including their availability, accuracy, content, products, privacy practices or security, and a link does not imply endorsement. Any dealings between you and a third party are solely between you and them.
26.3 Map, place and venue information may be incomplete, inaccurate or out of date. You must not remove or obscure any attribution shown for Third-Party Services.
27. App stores
27.1 These Terms are between you and Linkup only, not with Apple Inc. or Google LLC (the “App Stores”). Linkup, not the App Stores, is solely responsible for the app and its content. Your use of the app must also comply with the App Store’s own terms, which prevail where they conflict with these Terms.
27.2 Apple. If you downloaded the app from the Apple App Store: (a) your licence is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions (including Family Sharing where applicable); (b) Apple has no obligation to provide maintenance or support; (c) if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any), and Apple has no other warranty obligation, all other claims, losses and costs being Linkup’s responsibility to the extent not disclaimed by these Terms; (d) Linkup, not Apple, is responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection, privacy or similar claims; (e) Linkup, not Apple, is responsible for investigating, defending, settling and discharging any third-party claim that the app infringes intellectual property rights; (f) you represent that you are not located in a country subject to a US Government embargo or designated by the US Government as a “terrorist supporting” country, and are not listed on any US Government list of prohibited or restricted parties; (g) you must comply with applicable third-party terms (such as your wireless data agreement); and (h) Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, Apple may enforce them against you.
27.3 Google. If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service, purchases are subject to Google Play’s payment and refund policies, Google is not responsible for the app, its content, support or warranty, and Google is not a party to these Terms.
28. Privacy
28.1 Our Privacy Policy explains how we collect, use, share and protect your personal data, and your rights. By using the Service you acknowledge that we will process your personal data as described there.
28.2 Linkup is based in the United Kingdom and our service providers are located in several countries. Your personal data may be transferred to, stored and processed in countries whose data protection laws differ from yours. We use appropriate safeguards for such transfers, as required by UK and EU data protection law and described in our Privacy Policy.
28.3 Some information on your profile and in linkups (such as your first name, age, photos, bio, interests, and linkups you host or attend) is visible to other users. Messages you send are visible to their recipients and, in group chats, to all members.
29. Communications
29.1 Electronic communications. You agree to receive communications from us electronically, including by email, push notification, in-app message and SMS, and agree that such communications satisfy any legal requirement that they be in writing.
29.2 Service messages. We will send you messages necessary to operate the Service, such as verification codes, security alerts, payment confirmations, linkup changes and cancellations, and changes to these Terms. You cannot opt out of these while you have an account.
29.3 Marketing. Where permitted by law, we may send you marketing about Linkup features, offers, linkups and promotions. You can opt out at any time by using the unsubscribe link, changing your notification settings or device settings, replying STOP to an SMS, or emailing support@linkupapp.io.
29.4 SMS. If you give us your phone number, you consent to receive text messages from us, including automated messages, at that number. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to opt out. Carriers are not liable for delayed or undelivered messages. We do not sell or share mobile numbers collected for SMS with third parties for their marketing.
29.5 Push notifications. You can turn push notifications on or off in your device settings.
30. Location features
30.1 Linkup relies on your location, which we may determine using GPS, Wi-Fi, Bluetooth, IP address or information you provide. You must allow location access to use the app.
30.2 We show other users an approximate distance or area, not your precise location, unless you choose to share a precise location (for example as a linkup meeting point). Be careful about sharing places that identify where you live, work or stay.
30.3 Location data may be inaccurate. Do not rely on the Service for navigation or in emergencies.
31. Suspension and termination
31.1 You may stop using the Service and delete your account at any time (Section 5.7). Cancelling a Plus Subscription is separate (Section 22.4).
31.2 We may suspend, restrict or terminate your account or access to all or part of the Service, at any time and, to the extent permitted by law, with or without notice, if: you breach these Terms or we reasonably suspect you have; we reasonably believe your conduct (on or off the Service) creates a risk to any person’s safety, or legal, financial or reputational risk to Linkup, users or others; we are required to by law, a court, a regulator, an App Store or a Payment Processor; your account has been inactive for a long period; or we stop providing the Service or any part of it. Where practicable and lawful, and where it would not put anyone at risk, we will give you notice and the reasons, and a chance to remedy a breach that can be remedied.
31.3 Effect of termination. On termination: your licence to use the Service ends; you must not create a new account without our written permission, and we may remove any account created in breach of this; upcoming linkups you host may be cancelled and Attendees’ holds released; unused Plus Subscription time, credits and Promotions are forfeited; and no refund is due if we terminate your account for breach, except where required by law. We may keep your Wallet balance and any payouts owed to you to cover amounts you owe us or Attendees, and pay any balance once all refund and chargeback periods have ended.
31.4 Data after termination. We will delete or anonymise your data in line with our Privacy Policy, but we may keep information for as long as needed to comply with law, resolve disputes, enforce these Terms, prevent fraud and repeat abuse (for example, to stop banned users from returning), and assist law enforcement. Messages you sent to others may remain visible to them.
31.5 Survival. Sections 3, 12, 15, 16 (for licences already granted and Section 16.4), 18.3, 19, 20.5 to 20.9, 21.9, 24, 25, 31 to 34, and 36 to 39, and any other provision that by its nature should survive, survive termination.
32. Disclaimers
32.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, OUR CONTENT, USER CONTENT, AI OUTPUT AND ALL LINKUPS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES, CONDITIONS OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT.
32.2 WITHOUT LIMITING THE ABOVE, LINKUP DOES NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; DEFECTS WILL BE CORRECTED; ANY CONTENT OR INFORMATION IS ACCURATE, COMPLETE, RELIABLE OR CURRENT; YOU WILL MEET ANYONE, MAKE FRIENDS, OR FIND LINKUPS THAT SUIT YOU; ANY PARTICULAR NUMBER OF USERS OR ATTENDEES WILL BE ACTIVE OR ATTEND; OR ANY LINKUP WILL TAKE PLACE OR BE SAFE, LAWFUL OR AS DESCRIBED.
32.3 LINKUP MAKES NO REPRESENTATION OR WARRANTY ABOUT THE IDENTITY, CONDUCT, INTENTIONS, CHARACTER, CRIMINAL HISTORY, HEALTH, PHYSICAL CONDITION, LEGITIMACY OR VERACITY OF ANY USER, HOST OR ATTENDEE, AND IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER ON OR OFF THE SERVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.
32.4 ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA. WE ARE NOT RESPONSIBLE FOR SECURITY BREACHES, HACKING, TAMPERING, NETWORK FAILURES OR OTHER TECHNICAL MALFUNCTIONS OUTSIDE OUR REASONABLE CONTROL.
32.5 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
33. Limitation of liability
33.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CIRCUMSTANCES WILL THE LINKUP PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, ANTICIPATED SAVINGS, GOODWILL, REPUTATION, USE OR DATA, OR OTHER INTANGIBLE LOSSES, WHETHER DIRECT OR INDIRECT, HOWEVER CAUSED AND WHETHER OR NOT FORESEEABLE OR ADVISED OF THEIR POSSIBILITY.
33.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE LINKUP PARTIES WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE, INJURY OR DEATH ARISING OUT OF OR IN CONNECTION WITH: (A) THE CONDUCT, ACTS OR OMISSIONS OF ANY USER, HOST, ATTENDEE, VENUE OR OTHER THIRD PARTY, ON OR OFF THE SERVICE; (B) ANY LINKUP OR ANY PLAN ARRANGED THROUGH A SHOUT, INCLUDING ATTENDANCE, PARTICIPATION, TRANSPORT TO OR FROM IT, OR ITS CANCELLATION OR CHANGE; (C) ANY TRANSACTION OR DISPUTE BETWEEN USERS; (D) YOUR RELIANCE ON ANY CONTENT, LINKUP, VERIFICATION BADGE, RECOMMENDATION OR AI OUTPUT; (E) YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE; (F) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR ACCOUNT, CONTENT OR DATA; OR (G) THIRD-PARTY SERVICES.
33.3 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE LINKUP PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, ANY LINKUP OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO LINKUP IN THE 12 MONTHS BEFORE THE MATTER GIVING RISE TO THE CLAIM, EXCLUDING JOINING PRICES PASSED TO HOSTS; AND (B) USD 100.
33.4 What we do not exclude. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; our gross negligence or wilful misconduct where the law does not allow it to be limited; or your statutory rights as a consumer. If you are a consumer in the UK or EU, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, but not for loss that is not foreseeable. New Jersey residents: the limitations in Sections 12, 32 and 33 apply only to the extent permitted by New Jersey law.
33.5 These limitations apply even if a remedy fails of its essential purpose, and they form an essential basis of the bargain between you and us.
34. Indemnity
34.1 To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless the Linkup Parties from and against all claims, demands, actions, liabilities, damages, losses, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Service; (b) Your Content; (c) any linkup you host or attend, and your conduct towards other users or third parties, on or off the Service; (d) your breach of these Terms or any Additional Terms; (e) your breach of any law or the rights of any third party; (f) any taxes, fees or penalties relating to your Paid Linkups; and (g) your negligence, wilful misconduct or fraud.
34.2 We may assume exclusive control of the defence and settlement of any matter you must indemnify us for, at your expense, and you must cooperate with us. You must not settle any such matter without our prior written consent.
34.3 If you are a consumer, this Section applies only to the extent permitted by the consumer protection laws of your country of residence, and does not apply to the extent a claim is caused by our own fraud, deception, gross negligence or wilful misconduct.
35. Changes to these Terms
35.1 We may update these Terms from time to time, for example to reflect changes to the Service, our business, or the law. The “Last updated” date shows when they last changed.
35.2 For material changes, we will give you reasonable advance notice (at least 15 days where required by law) through the Service, by email or by other reasonable means, unless the change is required urgently for legal, safety or security reasons. Changes to Section 37 are subject to Section 37.9.
35.3 If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Service and may delete your account and cancel any subscription. Where the law requires your express consent to a change, we will ask for it.
36. Governing law and disputes
36.1 Informal resolution first. Most issues can be solved quickly. Before starting any formal proceedings, you agree to contact us at support@linkupapp.io with a written description of your complaint, and to allow 60 days for us to try to resolve it informally. Limitation periods are paused during this time.
36.2 Governing law. Except as set out in Sections 36.4 and 37, these Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service are governed by the laws of England and Wales.
36.3 Courts. Except as set out in Sections 36.4 and 37, the courts of England and Wales have exclusive jurisdiction over any such dispute, and you and we submit to that jurisdiction.
36.4 Consumers. If you are a consumer, nothing in these Terms deprives you of the protection of the mandatory laws of your country of residence. If you live in Scotland you may bring proceedings in Scotland, and if you live in Northern Ireland you may bring proceedings in Northern Ireland. If you live in the EU/EEA or Switzerland you may bring proceedings in the courts of your country of residence. You may also use an alternative dispute resolution body where one is available.
36.5 Time limit. To the extent permitted by law, any claim arising out of or relating to the Service or these Terms must be commenced within one year after the claim arose, or it is permanently barred. This does not apply to consumers in the UK or EU.
37. Arbitration agreement and class action waiver (United States users)
PLEASE READ THIS SECTION CAREFULLY. IF YOU LIVE IN THE UNITED STATES, IT REQUIRES YOU TO RESOLVE DISPUTES WITH LINKUP THROUGH INDIVIDUAL BINDING ARBITRATION, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT (SECTION 37.8).
37.1 Scope. If you reside in the United States, you and Linkup agree that any dispute, claim or controversy between you and any Linkup Party arising out of or relating to these Terms, the Service, any linkup, or our relationship, whether based on contract, tort, statute, fraud or any other legal theory, and whether it arose before or after you accepted these Terms (a “Dispute”), will be resolved by binding individual arbitration, after the informal process in Section 36.1. The arbitrator, not a court, decides all questions of arbitrability, scope and enforceability, except as stated in Section 37.4. This agreement is governed by the US Federal Arbitration Act.
37.2 Exceptions. Either party may instead: (a) bring an individual claim in small claims court if it qualifies; (b) seek injunctive or equitable relief in court to protect intellectual property rights or stop unauthorised use or abuse of the Service; and (c) you may bring a claim of sexual assault or sexual harassment in court, as permitted by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act. Nothing prevents you from reporting an issue to a government agency.
37.3 Rules and procedure. Arbitration will be administered by National Arbitration and Mediation (“NAM”) under its Comprehensive Dispute Resolution Rules and Procedures and, where applicable, its Mass Filing Supplemental Rules, in effect when the demand is filed (available at namadr.com). If NAM is unavailable, the parties will agree an alternative provider, or a court will appoint one. A single neutral arbitrator will decide the Dispute. Hearings will take place by video or telephone, or in person in the county where you live if you request it. For claims under USD 10,000, you may choose whether the arbitration is conducted on documents only. The arbitrator may award the same individual relief a court could, and will issue a reasoned written decision. The award is binding only between the parties and has no preclusive effect in other proceedings.
37.4 Class action and jury trial waiver. YOU AND LINKUP EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or award relief to anyone other than the individual party. If this Section 37.4 is found unenforceable for any claim, that claim (and only that claim) must be decided by a court under Section 37.7, after any individual arbitration of other claims is completed, and this Section 37 otherwise remains in force.
37.5 Fees. Fees are allocated under NAM’s rules. If you show that arbitration costs would be prohibitive compared with litigation, we will pay as much of your filing and arbitrator fees as the arbitrator finds necessary to prevent that. Each party otherwise bears its own legal fees unless the arbitrator awards them under applicable law.
37.6 Mass arbitration. If 25 or more similar demands are filed by or with the help of the same or coordinated counsel, they will be administered in batches (bellwether proceedings) under NAM’s Mass Filing rules, with the parties selecting an initial set of cases to be arbitrated first, followed by global mediation, before the remaining cases proceed. Limitation periods are paused for claims awaiting their turn. A court may enforce this Section.
37.7 Courts. Where a Dispute is not arbitrated, it will be decided exclusively in the state or federal courts located in New York County, New York, and you and Linkup consent to their jurisdiction and waive any objection based on inconvenient forum.
37.8 30-day opt-out. You may opt out of this Section 37 by emailing support@linkupapp.io, with the subject “Arbitration Opt-Out”, within 30 days of first accepting these Terms, stating your name, the phone number or email linked to your account, and that you opt out. Opting out will not affect any other part of these Terms.
37.9 Changes. If we make a material change to this Section 37, you may reject it by emailing us within 30 days of the change taking effect, in which case the previous version will continue to apply to you.
38. Additional terms for certain locations
38.1 California. Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
38.2 Australia. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any such guarantee, right or remedy, and our liability for failure to comply with a non-excludable guarantee is limited, where permitted, to resupplying the service or paying the cost of having it resupplied.
38.3 European Union. EU consumers may also contact their national consumer protection authority or an alternative dispute resolution body.
38.4 US Government users. The Service is “commercial computer software” and “commercial computer software documentation” provided with only the rights granted to all other users under these Terms (48 C.F.R. 12.212 and 227.7202).
38.5 Export control. You must comply with all applicable export control and sanctions laws and must not use, export or re-export the Service in breach of them.
39. General
39.1 Entire agreement. These Terms, together with the documents incorporated in Section 2.3, are the entire agreement between you and us about the Service and supersede all earlier agreements, representations and understandings. You have not relied on any statement not set out in them.
39.2 Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable (or, if that is not possible, severed), and the rest of these Terms will remain in full force.
39.3 No waiver. Our failure or delay in enforcing any right is not a waiver of it, and a waiver of one breach is not a waiver of any other.
39.4 Assignment. You may not assign, transfer or sublicense your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation, financing or sale of assets, or by operation of law, and will tell you if this affects you.
39.5 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment, franchise or fiduciary relationship between you and Linkup, or between Linkup and any Host.
39.6 Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government action, labour disputes, power, internet, telecommunications or hosting failures, cyber-attacks, or failures of third-party providers.
39.7 Third-party rights. Except for the Linkup Parties (Sections 12, 33 and 34) and the App Stores (Section 27), no one other than you and Linkup has any right to enforce these Terms, including under the UK Contracts (Rights of Third Parties) Act 1999.
39.8 Notices. We may give you notice through the Service, by email or SMS to the details on your account, or by any other reasonable means. You must send legal notices to support@linkupapp.io (marked “Legal Notice”) and, where required, to our registered address in Section 1.1.
39.9 Language and interpretation. These Terms are written in English. Any translation is for convenience only, and the English version prevails. Headings and summaries are for convenience only and do not affect interpretation. A printed version of these Terms is admissible in any proceedings to the same extent as other business records.
