Paid Linkup Terms

PLEASE READ THESE TERMS CAREFULLY. They apply to anyone who creates, hosts, co-hosts or joins a Paid Linkup on Linkup. They explain how payments, holds, fees, payouts, refunds and disputes work, and what you are responsible for.
The short version
Hosts need Linkup Plus and must pass identity checks with our payment provider, Ryft, before creating a Paid Linkup.
The Host is the seller. Linkup only collects payment on the Host’s behalf. The Host is responsible for delivering the linkup as described.
Attendees pay only the Joining Price. Their card is held, not charged, and the charge is taken after the linkup ends.
If an Attendee leaves or doesn’t turn up, they are still charged. If the Host cancels or removes them, they are not.
Hosts pay a 10% Platform Fee plus payment processing fees, taken when earnings are paid out.
Earnings go to the Host’s Wallet and are paid out automatically every 30 days, or withdrawn manually up to once every 24 hours.
All payments must go through Linkup. Taking payment outside the app is not allowed.

1. About these terms
1.1 These Paid Linkup Terms (“Paid Linkup Terms”) are provided by Linkup Social Ltd, a company registered in England and Wales under company number 13498608, whose registered office is at International House, 61 Mosley Street, Manchester, M2 3HZ, United Kingdom (“Linkup”, “we”, “us” or “our”).
1.2 These Paid Linkup Terms form part of, and must be read together with, our Terms of Use, Privacy Policy and Community Guidelines. Words defined in the Terms of Use have the same meaning here. If these Paid Linkup Terms conflict with the Terms of Use on a matter relating to Paid Linkups, these Paid Linkup Terms prevail for that matter.
1.3 Hosts and Co-hosts. By creating, editing, co-hosting or running a Paid Linkup, you agree to these Paid Linkup Terms. You do not need to sign, tick or click anything separately to accept them.
1.4 Attendees. By joining, asking to join, or accepting an invitation to, a Paid Linkup, you agree to the parts of these Paid Linkup Terms that apply to Attendees, in particular Sections 8 to 15. Again, you do not need to sign, tick or click anything separately.
1.5 These Paid Linkup Terms do not affect your statutory rights as a consumer.
2. Definitions
In these Paid Linkup Terms:
“Paid Linkup” means a linkup that Attendees pay to join.
“Host” means the user who creates a Paid Linkup. Where the context allows, it includes a Co-host.
“Co-host” means a user the Host adds to help run a Paid Linkup.
“Attendee” means a user who has joined a Paid Linkup, whether directly, after the Host accepted their request to join, or by accepting an invitation.
“Joining Price” means the price set by the Host to join a Paid Linkup, including any taxes.
“Hold” means a temporary authorisation placed on an Attendee’s payment method for the Joining Price, before it is charged.
“Platform Fee” means the fee Linkup charges Hosts on Paid Linkups, described in Section 16.
“Processing Fees” means the payment processing fees charged by our Payment Provider on Paid Linkup payments, described in Section 16.
“Wallet” means the in-app record of a Host’s earnings from Paid Linkups, described in Section 17.
“Payment Provider” means Ryft Pay Ltd (“Ryft”) and any other payment service provider we use for Paid Linkups.
“Linkup Plus” means our paid subscription, described in the Terms of Use.
3. Who can host Paid Linkups
3.1 To create and host Paid Linkups, you must:
meet all the eligibility requirements in the Terms of Use, including being at least 18 years old;
have an active Linkup Plus subscription;
successfully complete the identity and, where relevant, business checks described in Section 4;
have a bank account in your own name, or in the name of your business if you host as a business, that our Payment Provider can pay out to;
not be located in, ordinarily resident in, or a national of a sanctioned country or territory, and not appear on any sanctions or restricted-party list; and
be legally allowed to provide the activity you are charging for where it takes place, including under any immigration, work-permit or licensing rules that apply to you.
3.2 Hosting as a business. If you host Paid Linkups on behalf of a company or other organisation, you confirm that you are authorised to bind it to these Paid Linkup Terms, and “you” includes that organisation.
3.3 We may refuse, limit or withdraw the ability to create Paid Linkups at our discretion, including where we or our Payment Provider consider the risk of fraud, chargebacks or harm to be too high.
4. Identity and business checks
4.1 Because money is changing hands, anti-money-laundering, counter-terrorist-financing, sanctions and payment rules require us and our Payment Provider to verify Hosts before they can receive payments. These are known as “know your customer” (KYC) checks and, for businesses, “know your business” (KYB) checks.
4.2 The checks are carried out by Ryft. You may be asked for information such as your full legal name, date of birth, home address, nationality, an identity document, bank details and, for businesses, company registration and ownership details. You may also be screened against sanctions, politically-exposed-person and fraud databases.
4.3 You must provide accurate, complete and up-to-date information, and update it if it changes. Giving false or misleading information is a serious breach of these Paid Linkup Terms.
4.4 We receive the outcome of the checks and only the information we need. Ryft keeps records of the checks for as long as the law requires, under its own privacy policy. See our Privacy Policy.
4.5 Some decisions about whether you pass the checks are made by Ryft, and we may not be able to override them. We or Ryft may ask you to repeat or update the checks at any time, including when you change your payout bank details.
5. Creating a Paid Linkup
5.1 Setting a price. Every linkup is free by default. A linkup becomes a Paid Linkup when you set a Joining Price for it.
5.2 The Joining Price can’t be changed. Once a Joining Price has been set, it cannot be changed. Every Attendee pays the same Joining Price. There are no discount codes, free places or tiered prices on Paid Linkups. If you set the wrong price, you must cancel the Paid Linkup and create a new one, in line with Section 13.
5.3 Currency. The Joining Price is shown and charged in the currency of the Paid Linkup, and your earnings for it are recorded in that currency.
5.4 Accurate listings. Each Paid Linkup must be accurate, complete and not misleading. You must clearly describe:
what the linkup involves and what the Joining Price includes;
any extra costs Attendees should expect to pay themselves (for example food, drinks, equipment hire or transport);
the start and end date and time, and the location;
any physical, fitness, skill or experience requirements, and any age or eligibility limits;
any risks Attendees should know about, and anything they need to bring;
accessibility information, where relevant; and
if you intend to photograph or film the linkup.
5.5 You must not use misleading photos, fake scarcity, hidden fees, bait-and-switch tactics or any other unfair commercial practice.
5.6 Settings. You can choose whether people need your approval to join, a maximum capacity, whether the Paid Linkup is public or private, and whether it is open to anyone, male only or female only. You are responsible for making sure your settings are lawful where the linkup takes place, and you must not use approval to exclude people unlawfully because of race, ethnicity, nationality, religion, disability, sexual orientation or any other characteristic protected by law.
6. What you can’t charge for
6.1 A Paid Linkup must not involve, offer or promote:
paid companionship, dating, escorting or charging for access to a person or their time or company;
sexual services or any adult or sexually explicit content or activity;
gambling, betting, lotteries or prize draws (unless we have agreed in writing and it is lawful);
weapons, firearms, ammunition or explosives;
illegal drugs, controlled substances, prescription medicines, tobacco or vaping products;
financial, investment, trading, cryptocurrency or “get rich quick” services or schemes;
multi-level marketing, pyramid or similar schemes;
crowdfunding, donations or charitable fundraising (unless we have agreed in writing);
the resale of tickets or places for other events;
anything that breaches our Terms of Use, Community Guidelines or the law where the linkup takes place; or
any product, service or activity on our Payment Provider’s restricted or prohibited business lists.
6.2 You must not use Shouts, messages, linkup descriptions, links or any other part of Linkup to sell, charge for or collect payment for anything outside a Paid Linkup.
6.3 We may refuse, edit, hide or remove any Paid Linkup that we reasonably believe breaches this Section, and take action under Section 23.
7. Co-hosts and invitations
7.1 Co-hosts. You can add Co-hosts to help run your Paid Linkup. Co-hosts must be your friends on Linkup. A Co-host can do everything you can, except cancel the Paid Linkup before it takes place or remove it after it has happened.
7.2 Co-hosts must follow these Paid Linkup Terms. You are responsible for the actions of the Co-hosts you add.
7.3 Co-hosts are not paid by Linkup. All earnings from a Paid Linkup go to the Host’s Wallet only. Any arrangement to share earnings with a Co-host is solely between you and them.
7.4 Invitations. You can invite your friends on Linkup to a Paid Linkup. A friend who accepts an invitation becomes an Attendee and pays the Joining Price in the same way as everyone else, even if your Paid Linkup requires approval.
8. Linkup’s role and our payment provider
8.1 The Host is the seller. When an Attendee pays to join a Paid Linkup, they are paying the Host for the linkup. The Host is solely responsible for delivering the linkup as described. Linkup does not organise, run, supervise or attend Paid Linkups and is not a party to the arrangement between the Host and Attendees, except as set out in this Section.
8.2 Limited payment collection agent. By creating a Paid Linkup, the Host appoints Linkup as its limited payment collection agent, solely to accept payments from Attendees on the Host’s behalf. When an Attendee pays Linkup, or our Payment Provider, the Attendee’s obligation to pay the Host is satisfied, and the Host must honour that Attendee’s place, even if Linkup or the Payment Provider fails to pay out to the Host.
8.3 Linkup is not the Host’s employer, partner, joint venturer, travel agent, tour operator, promoter, venue operator or insurer, and the Host has no authority to bind Linkup.
8.4 Payment Provider. Payments for Paid Linkups, Holds, refunds and Host payouts are processed by Ryft Pay Ltd, which is authorised and regulated by the UK Financial Conduct Authority as an Authorised Payment Institution (firm reference number 972895). By making or receiving payments, you also agree to Ryft’s terms and privacy policy, and Hosts agree to any seller or sub-merchant terms Ryft requires during onboarding.
8.5 Linkup does not store full card numbers. Card details are handled by Ryft, which is certified to PCI DSS Level 1. Hosts’ payout bank details are held by Ryft, and Linkup only ever displays the last four digits of the account number or IBAN.
8.6 We may add or change Payment Providers. We will tell you if this affects you.
9. Joining a Paid Linkup
9.1 Before you confirm, you will see the Joining Price in the Paid Linkup’s currency. Please read the linkup details, including what the price includes and any extra costs, before you join.
9.2 Payment methods. You can pay with Apple Pay, Google Pay or a debit or credit card. Your card issuer may ask you to confirm the payment, for example using 3D Secure.
9.3 No booking fee. Attendees pay only the Joining Price. Linkup does not charge Attendees any fee on top. Your bank or card provider may charge its own fees, for example for foreign currency payments.
9.4 Your place. Your place is confirmed in the app once you have joined (or the Host has accepted your request, or you have accepted an invitation) and your payment method has been accepted.
9.5 Joining a Paid Linkup does not include entry to anything else, and Linkup Plus does not include entry to any Paid Linkup.
10. Payment holds and when Attendees are charged
10.1 You are charged after the linkup ends. When you join a Paid Linkup, you are not charged straight away. A Hold for the Joining Price is placed on your payment method, and the held amount is charged after the Paid Linkup has ended.
10.2 When the Hold is placed. Card Holds only last a limited number of days, so the timing of the Hold depends on how far away the Paid Linkup is:
Linkups coming up soon: we place the Hold when you join.
Linkups further away: when you join, we securely save your payment method with our Payment Provider, without holding or taking any money, and you authorise us to place the Hold a few days before the Paid Linkup ends.
10.3 Your authorisation. By joining a Paid Linkup, you authorise Linkup and our Payment Provider to save your payment method where needed, to place, release and re-place Holds for the Joining Price as described in these Paid Linkup Terms, and to charge the Joining Price after the Paid Linkup ends. These later Holds and charges are made by us without you being present (sometimes called merchant-initiated transactions), on the basis of this authorisation.
10.4 If a Hold fails. If we cannot place a Hold (for example because your card has expired, been cancelled or declined, or your bank asks you to confirm it), we will try to let you know so you can update your payment method or confirm the payment. If the Hold still does not go through, we may remove you from the Paid Linkup and you will not be charged.
10.5 Releasing Holds. When we release a Hold, your card issuer removes it from your account. This can take several working days, depending on your bank.
10.6 Your available balance may look lower while a Hold is in place. You will only ever be charged once for each Paid Linkup you attend.
11. Changes to a Paid Linkup
11.1 A Host or Co-host may change a Paid Linkup’s date, time, location or details, but not its Joining Price (Section 5.2). Attendees are sent a notification when a Paid Linkup is updated, if they have notifications turned on. Hosts should avoid significant changes and must only make them for good reason.
11.2 If the date moves. If the date or time changes, Attendees keep their places. Where a Hold has already been placed and would no longer last until the new end of the Paid Linkup, we will release it and place a new Hold closer to the new date. Attendees may briefly see both while their bank removes the old Hold, but will only be charged once.
11.3 If you can’t make the change. If a Host makes a significant change to a Paid Linkup, such as its date, time or location, and it no longer works for you, contact us at support@linkupapp.iobefore the Paid Linkup starts. We will make sure you are not charged. If you do not contact us before it starts, you will be charged as normal.
12. Leaving, no-shows and removals
12.1 Leaving. You can leave a Paid Linkup in the app at any time. When you join, your place is reserved for you and the Host plans around it, so if you leave, or do not turn up, you will still be charged the full Joining Price after the Paid Linkup ends, except as set out in Sections 11.3, 12.2 and 13, or where the law requires otherwise. Please still leave the Paid Linkup in the app if you cannot go, so the Host knows.
12.2 Removal by the Host. If the Host or a Co-host removes you from a Paid Linkup before it ends, any Hold is released and you will not be charged.
12.3 Removal for breach. If you are removed because you broke our Terms of Use, Community Guidelines, the Host’s reasonable rules, the venue’s rules or the law, you will not be charged for that Paid Linkup, but we may still take action on your account.
12.4 Places are personal to you. You must not sell, transfer or resell your place in a Paid Linkup. Anyone else who wants to attend must join themselves.
13. Cancellations by the Host
13.1 Only the Host can cancel a Paid Linkup. Co-hosts cannot.
13.2 If the Host cancels a Paid Linkup, every Hold is released and no Attendee is charged. The Host will not receive any earnings for it.
13.3 Hosts must only cancel Paid Linkups for genuine reasons, such as safety, illness, bad weather, the venue becoming unavailable or other circumstances outside their control. Hosts should cancel as early as possible and let Attendees know why in the group chat.
13.4 Frequent or last-minute cancellations, or cancellations we reasonably consider unfair to Attendees, may lead to action under Section 23, including limiting your ability to host Paid Linkups.
13.5 If a Paid Linkup does not go ahead because the Host failed to turn up or deliver it, it is treated as not having taken place under Section 14.
14. Problems, refunds and complaints
14.1 If something goes wrong. If a Paid Linkup did not take place, or was materially different from its description, please contact the Host first. If that does not resolve it, contact us at support@linkupapp.iowithin 14 days of the linkup date, with details and any evidence, such as screenshots of the linkup description or messages, or photos.
14.2 Linkup-issued refunds. We may, at our discretion, refund an Attendee in full or in part, for example where a Paid Linkup did not take place, was materially not as described, or where we suspect fraud or a safety issue. We may recover any refund we give from the Host under Section 18. Our decision does not limit any other rights you have.
14.3 How refunds are paid. Where a payment has already been taken and a refund is due, it is made to the original payment method. We aim to start processing a refund within 5 working days of it becoming due. It may then take a further 5 to 10 working days, or longer depending on your bank, to reach your account. If you were never charged, there is nothing to refund: the Hold is simply released.
14.4 Pricing errors. If a Joining Price is clearly wrong because of an error, we may remove the affected Attendees and release their Holds or, if they have already been charged, refund them in full.
14.5 No 14-day cooling-off period. If you are a consumer in the UK or EU, the usual 14-day right to cancel does not apply to payments for leisure activities on a specific date or period (for example under regulation 28(1)(g) of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and Article 16(l) of the EU Consumer Rights Directive). Your other statutory rights, including if a Paid Linkup is not provided as described, are not affected.
14.6 Disputes between Hosts and Attendees are primarily for them to resolve. We may help, but are not obliged to, and any decision we make about refunds or account action does not create any liability for us.
15. Chargebacks and payment disputes
15.1 Attendees. If you have a problem with a charge, please contact us at support@linkupapp.io before raising a dispute with your bank. We can usually resolve things much faster. If you raise a chargeback or dispute that we reasonably consider unjustified or fraudulent (for example, for a Paid Linkup you attended), we may suspend your account and recover the amount and any associated fees from you.
15.2 Hosts. Hosts are responsible for chargebacks, disputes, reversals and any associated fees relating to their Paid Linkups. When we ask, you must provide evidence, such as messages, photos or proof the Paid Linkup took place, within the time we specify. If you do not, or if the dispute is decided against you, the amount and any fees may be deducted from your Wallet or recovered from you under Section 18.
15.3 Excessive chargebacks or disputes may lead to action under Section 23.
16. Fees
Platform Fee — paid by Host: 10% of the Joining Price. When it’s taken: Deducted when Wallet earnings are paid out, whether automatically or by manual withdrawal.
Processing Fees — paid by Host: Our Payment Provider’s fees on each payment. When it’s taken: Deducted from earnings or payouts.
Booking fee — paid by Attendee: None. When it’s taken: Not applicable.
16.1 Platform Fee. Linkup charges Hosts a Platform Fee of 10% of the Joining Price for each Attendee charged. Your Wallet shows the full amount you have earned. The Platform Fee is deducted when your earnings are paid out.
16.2 Processing Fees. Hosts also pay our Payment Provider’s Processing Fees on their Paid Linkups, which are deducted from earnings or payouts.
16.3 Fees on refunds. If an Attendee is refunded after a payment has been taken, the Host bears any Processing Fees on that payment that are not returned to us. If a Hold is released before any payment is taken (for example because the Host cancels or removes the Attendee before the Paid Linkup ends), no payment is made and no fee applies.
16.4 Example. You set a Joining Price of £20 and 10 Attendees are charged. Your Wallet shows £200 earned. When it is paid out, the £20 Platform Fee and the Processing Fees are deducted, and the rest is sent to your bank account.
16.5 We may change our fees by giving you reasonable notice. Changes do not affect payments already made.
17. Your Wallet and payouts
17.1 Earnings. A Host’s earnings from a Paid Linkup (the Joining Prices charged to Attendees, less any refunds, chargebacks, reversals, tax we are required to withhold and other amounts owed to us) are credited to the Host’s Wallet.
17.2 When earnings become available. Earnings become available for payout once the Paid Linkup has ended and any holding period shown in the app has passed.
17.3 Automatic payouts. Your available Wallet balance is paid out automatically to your verified bank account every 30 days.
17.4 Manual withdrawals. You can also withdraw your available balance yourself from your Wallet by tapping Withdraw, no more than once every 24 hours. Withdrawals are sent to your connected bank account, and the Platform Fee and Processing Fees are deducted.
17.5 Minimum payout amount. Payouts, whether automatic or by manual withdrawal, can only be made once your available Wallet balance reaches the minimum payout amount for your currency, which is shown in your Wallet (for example £100, US$100 or €100). Until your balance reaches the minimum, your earnings stay in your Wallet and are paid out once it does.
17.6 How payouts appear. Payouts are sent by our Payment Provider, so they appear on your bank statement under the name “Ryft Pay Ltd” rather than Linkup.
17.7 Timing. Once a payout is sent, the time it takes to reach your account depends on our Payment Provider and your bank. We are not responsible for delays caused by incorrect bank details you provide, or by your bank.
17.8 Payout details. You can view and change your payout bank account in Settings → Account settings → Payout details. The account must be in your name, or your business’s name if you host as a business. Changing your bank details may require further verification.
17.9 What the Wallet is. The Wallet is a record of amounts due to you for Paid Linkups you have hosted. It is not a bank account, deposit, savings or e-money account, and balances do not earn interest. Funds are held and settled by our Payment Provider in line with its regulatory obligations. You cannot add your own money to the Wallet, transfer balances to other users, or use them to buy anything on Linkup. Balances are shown in the currency of the relevant Paid Linkup.
17.10 Unclaimed balances. If we cannot pay out a balance (for example because your bank details are invalid or your account has been closed), we will try to contact you. Balances that remain unclaimed will be dealt with as required by applicable law.
18. Holds, reserves and amounts owed
18.1 We or our Payment Provider may freeze a Wallet, delay, hold or cancel scheduled payouts or withdrawals, withhold or reverse earnings, or require a reserve, where:
we reasonably suspect fraud, money laundering or a breach of these Paid Linkup Terms or the Terms of Use;
there is a high risk of refunds, chargebacks or complaints relating to your Paid Linkups;
there is a pending complaint, dispute or investigation; or
the law, a regulator or our Payment Provider requires it.
18.2 Set-off. You authorise us to deduct any amount you owe us from your Wallet balance or any payout, including refunds we have given to your Attendees, chargebacks, reversals, fees and penalties.
18.3 Negative balance. If your Wallet balance becomes negative, you must repay the amount on request, and you authorise us to charge your payment method on file for any shortfall.
19. Taxes and reporting
19.1 Hosts are solely responsible for determining, collecting, reporting and paying all taxes on their Paid Linkup earnings, including income tax, VAT, GST and sales taxes, and for issuing any invoices or receipts required by law. If an Attendee needs an invoice, they should ask the Host.
19.2 Where the law requires Linkup to collect or withhold tax, we will do so and may deduct it from your earnings or payouts.
19.3 We may ask you for tax information, and we may report your earnings to tax authorities where the law requires it, for example under the UK Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023, the EU DAC7 rules, or US Form 1099-K requirements. If you do not provide information we are required to collect, we may hold your payouts or limit your ability to host Paid Linkups.
19.4 Linkup does not give tax advice. If you are unsure, speak to an accountant or your local tax authority.
20. Your responsibilities as a Host
When you host a Paid Linkup, you act as a seller and possibly as a business. In addition to your obligations under the Terms of Use, you must:
Deliver what you described
20.1 Deliver the Paid Linkup as described, at the date, time and place shown, to every Attendee who has paid, and honour their places.
Follow the law
20.2 Make sure your Paid Linkup, and everything you do in connection with it, complies with all applicable laws, and obtain and keep at your own cost any licences, permits, permissions, qualifications, registrations and insurance it requires. This includes, where relevant: venue and landowner permission; entertainment, music, alcohol or food licences; health and safety and fire rules and capacity limits; instructor, coaching, guiding, fitness or wellness qualifications; public liability insurance; consumer protection and pricing rules; data protection; and any immigration or work-permit rules that apply to you as a paid Host. Linkup does not check any of these.
Keep people safe
20.3 Choose venues that are appropriate for the activity. For Paid Linkups open to people you have not met, use public venues. You must never use a Paid Linkup to get anyone to a private or isolated location.
20.4 Take reasonable care for the safety of Attendees, carry out any risk assessments the activity reasonably requires, give appropriate safety briefings, and stop or cancel the Paid Linkup if it becomes unsafe.
20.5 Report to us, and where appropriate to the emergency services, any incident involving injury, harassment, assault or other serious misconduct. See our Safety Tips.
20.6 Follow local alcohol laws, never provide or allow alcohol for anyone under the legal drinking age, and never supply or permit illegal drugs, weapons or other illegal items.
Respect Attendees
20.7 Treat Attendees fairly and respectfully, in line with our Community Guidelines, and do not discriminate unlawfully.
20.8 If you intend to photograph or film the Paid Linkup, say so clearly in the description and respect anyone who does not want to be photographed or filmed.
20.9 Use Attendees’ information only to organise and run the Paid Linkup. Do not export, sell or use it for marketing, add Attendees to outside lists or groups without their consent, or keep it longer than necessary. Where you process Attendees’ personal data, you do so as an independent controller and must comply with data protection law.
Cooperate with us
20.1 0 Respond promptly and honestly to any complaint, dispute or request for information from us or our Payment Provider about your Paid Linkups.
21. Off-platform payments
21.1 All payments for Paid Linkups must be made through Linkup. You must not ask or encourage anyone to pay you, or a Co-host, outside Linkup for a linkup, whether by bank transfer, cash, payment apps, cryptocurrency or any other method, and you must not use linkups, Shouts, messages or your profile to direct people to do so.
21.2 Payments made outside Linkup are not covered by these Paid Linkup Terms, are not protected, and cannot be refunded by us. Taking payment outside Linkup to avoid our fees or protections is a serious breach and may lead to action under Section 23.
21.3 If someone asks you to pay outside Linkup, please report it.
22. Linkup Plus and closing your account
22.1 If your Linkup Plus ends. You will not be able to create new Paid Linkups. Any earnings already in your Wallet remain yours and will be paid out in line with Section 17.
22.2 Deleting your account. You cannot delete your account while you are hosting any upcoming linkups. You must cancel them, or wait until they have taken place, first. Before deleting, withdraw any available Wallet balance.
22.3 If your account is closed or terminated, we may keep your Wallet balance and any payouts owed to you to cover amounts you owe us or Attendees, and pay out any remaining balance once all refund, complaint and chargeback periods have passed, subject to Section 18 and the law.
23. Enforcement
23.1 If we reasonably believe you have breached these Paid Linkup Terms, the Terms of Use or the law, or pose a risk to Attendees, Linkup or others, we may, with or without notice and in addition to our rights under the Terms of Use:
edit, hide, cancel or remove any Paid Linkup, and release Attendees’ Holds;
remove Attendees and refund them;
hold, freeze, reverse or withhold earnings and payouts under Section 18;
require additional verification;
limit or remove your ability to create or host Paid Linkups; and
suspend or close your account, and report the matter to our Payment Provider, tax authorities or law enforcement where appropriate.
23.2 Where the law requires it, we will tell you about the action we have taken and why. If you think we have made a mistake, you can appeal within 30 days by emailing support@linkupapp.io with “Appeal” in the subject.
24. Liability and indemnity
24.1 The disclaimers, release, limitations of liability and indemnity in the Terms of Use (including Sections 12, 32, 33 and 34) apply to Paid Linkups and to these Paid Linkup Terms.
24.2 To the fullest extent permitted by law, Linkup is not responsible for whether a Paid Linkup takes place, its quality, safety, legality or accuracy, or the conduct of any Host, Co-host, Attendee or third party.
24.3 Host indemnity. To the fullest extent permitted by law, Hosts agree to indemnify the Linkup Parties against all claims, losses, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to their Paid Linkups, including any breach of these Paid Linkup Terms, any taxes, fees or penalties relating to their earnings, any chargebacks or refunds, and any claim by an Attendee or third party.
24.4 Nothing in these Paid Linkup Terms excludes or limits liability that cannot be excluded or limited by law, or affects your statutory rights as a consumer.
25. Changes to these terms
25.1 We may update these Paid Linkup Terms from time to time, for example to reflect changes to Paid Linkups, our fees, our Payment Provider or the law. The “Last updated” date shows when they last changed.
25.2 For material changes, we will give you reasonable advance notice through the app, by email or by other reasonable means, unless the change is needed urgently for legal, safety or security reasons. Changes do not affect payments already made, or Paid Linkups already joined, unless the law requires otherwise.
25.3 If you continue to create, host or join Paid Linkups after a change takes effect, you agree to the updated Paid Linkup Terms. If you do not agree, you must stop creating, hosting or joining Paid Linkups.
26. Governing law and disputes
26.1 These Paid Linkup Terms, and any dispute or claim arising out of or in connection with them, are governed by the law and dispute provisions in Sections 36 and 37 of the Terms of Use, including the requirement to contact us first to try to resolve any issue informally and, for users in the United States, the arbitration agreement and class action waiver.
